How to do a 301 redirect to redirect my old domain to my new domain?

I have an old domain that is no longer makes sense for the direction of my website. I would like to redirect this domain to a new domain without incurring any search engine penalties. I have heard that this can be done with 301 redirect so there are two things I want to know.

1. If I use a 301 redirect can there be any negative sideffects even if it is done correctly?

2. How do I setup my .htaccess file so that my 301 redirect point all the old domain urls to the new domain using the same url structure etc.
